1. Introduction and Service Provider Identity
Welcome to MAKClick ("we", "us", "the Platform"). The MAKClick platform is operated by Tech Click, registered with the Dutch Chamber of Commerce under KVK number 97577243, establishment address: Huslystraat 62, 3066 EK Rotterdam, Nederland, official email: info@makclick.com.
By using our platform, creating an account, or simply accessing or reaching the website, you ("User", "Client", "Accountant", "Accounting Firm", or any authorized sub-party) fully and explicitly agree to be bound by these Terms and Conditions. If you do not agree to any part of them, you may stop using the Service at any time, and your continued use means that you agree to all provisions.
2. Acceptance of Terms
By using the Service or creating an account, you acknowledge that you have read and understood this Agreement and agree to be fully bound by it, including the Privacy Policy and the Data Processing Agreement contained therein, and any other policies referred to within this Agreement.
3. Description and Nature of the Service
We provide a software platform (SaaS) designed to assist sole traders / freelancers (ZZP), small and medium-sized enterprises (SMEs), and accounting firms in managing their business and invoices, creating invoices and price quotes, logging their working hours, extracting document data, and synchronizing with external accounting software smoothly and in an organized manner.
MAKClick does not provide accounting, tax, or legal services, and Platform outputs or OCR/AI results do not constitute professional advice. Your accounting and tax decisions remain solely your responsibility.
Legitimate Use:
The Service is intended for freelancers (ZZP), SMEs, and accounting firms for the purpose of managing their business and invoices legally and in an organized manner. We trust you to use our platform for legitimate purposes only, and under no circumstances may the Service be used for:
Any violation of the above terms falls entirely under the subscriber's responsibility, and the Platform reserves its right to suspend or terminate the account immediately without any notice or compensation.
4. User and Account Responsibilities
The account holder or accounting firm is responsible for all actions performed by authorized users under their account.
5. Payment and Financial Obligations
Billing Cycle: The subscription is collected [monthly/annually] in advance.
Late Payment: In the event of payment delay, your account may be suspended or terminated.
The subscription to the Service is paid according to the announced plans (monthly or annual).
The subscriber undertakes to pay subscription fees on time without delay.
In case of non-payment:
Payment and Non-Refundability
6. Fraud Attempts and Abuse
Exploiting the Service through illegal means is strictly prohibited, such as:
Upon detecting any attempt at fraud, we reserve the right to:
7. Data and Advanced Services
Data Responsibility
All data you enter (clients, invoices, price quotes, expenses, working hours...) is under your sole responsibility.
The Platform does not verify the accuracy of data nor guarantee its precision.
Any financial or legal results or consequences arising from your data rest solely on you.
If you delete your data yourself, we will not be able to recover it.
Upon subscription expiry, your data is retained for 14 days only for export, after which it is permanently deleted from operational systems and cannot be restored. MAKClick is not a tax archive substitute for your legal record-keeping obligations.
Nature of the Platform and Storage Limits
MAKClick operates as a tool for processing, routing, and reviewing data (including OCR and integrations with external systems), and is not a permanent storage platform or archive for original documents. The Platform has no obligation to retain any original file or copy indefinitely, and does not replace the user’s or accountant’s archiving systems or statutory record-keeping obligations.
The user and the accountant are solely responsible for:
Copies held inside MAKClick do not replace the user’s or accountant’s archiving and statutory retention obligations, whether the document was uploaded or created within the Platform.
To the maximum extent permitted by law, MAKClick and Tech Click bear no liability, duty to compensate, or duty to restore if: the user, accountant, or any authorized party deletes a document or data; the user or accountant relies on the Platform to store original files or as a substitute for legal archiving; or a deleted or lost file cannot be recovered for any reason after deletion from the account or after expiry of the retention period stated in these Terms.
Deletion of Original Files and Backups
The Platform may delete uploaded original files after they have been processed and/or synchronized with Exact Online or any external system, in accordance with operational policies. The Platform has no obligation to retain the original file after the purpose of the upload has been fulfilled.
Platform backups are not intended to serve as an archive for original files and may, to the extent operationally practicable, be limited to extracted data and records created within the Platform, without any guarantee that original files will be retained or restored.
Nevertheless, the user and the accountant may not rely on Platform backups to obtain original files, extracted data, or records. The user and the accountant remain responsible for retaining adequate private copies outside the Platform, as set out in the Nature of the Platform and Storage Limits section.
Artificial Intelligence and Automated Document Reading (OCR)
The Platform uses OCR and machine-learning models to extract invoice and document data. Uploaded files may be processed by Microsoft Azure Document Intelligence, and extracted text or data may be processed by Google Gemini, depending on the feature used and solely for extraction and analysis purposes.
By uploading documents to the Platform, you authorize MAKClick to process them and to engage the service providers needed to perform these functions in accordance with the Privacy Policy.
OCR and AI results are assistive tools only and may contain errors. The user and the accountant bear full responsibility for reviewing and auditing all data and documents before approving them, issuing invoices, exporting entries, sending data to Exact Online, or preparing or filing tax returns (including BTW returns) based on them.
Fair Use
The Platform allows file processing under the subscription for ordinary use without a stated absolute maximum for normal usage types, provided that the number of processed documents per individual company does not exceed one hundred (100) documents per calendar month. This limit is calculated per company separately during the calendar month and includes any document uploaded or processed via the Platform (including automated document reading / OCR). Unused allowance does not roll over to the next month.
For a subscriber in the trial period, the right is limited to reading no more than twenty (20) invoices via OCR for the entire trial duration. The monthly limit of one hundred applies only after conversion to a paid subscription.
If different limits are formally agreed by email, that agreement shall prevail and be taken into account instead of the default limits above, for as long as the agreement remains in force.
Exceeding this limit, or intensive bulk uploads unusual for a single company within one month, constitutes a departure from fair use. In such a case, the Platform reserves the right to suspend or stop processing of additional documents (or the related service) for the company concerned, or to apply rate limiting or queues, until either:
The Platform has no obligation to continue processing under the base subscription after the limit is exceeded, and the user is not entitled to any compensation for suspension resulting from a breach of the Fair Use Policy.
Integration and Syncing with Exact and External Systems:
The Platform interfaces with third-party software and services, including Exact Online, via APIs and OAuth. To the maximum extent permitted by law, the Platform is not responsible for API downtime or changes, authentication failures or expired access tokens, delayed, failed, or duplicated sync, interruptions or modifications caused by Exact, Azure, Gemini, or any third party, or the unavailability of their services.
It is the responsibility of the accountant and the user to reconcile accounts and data regularly and to verify that sync operations succeed.
Accounting Firm and Multi-User System:
The "Accounting Firm", "Lead Accountant", or account holder bears full responsibility for creating, distributing, reviewing, and revoking permissions for sub-accountants, clients, and users listed under their account. Granting an accountant or external advisor access is done at the user's sole discretion and responsibility. Any data leak, accounting action, or error by any authorized party falls under the direct and full responsibility of the accounting firm or account holder, without liability on the Platform, except in cases of intent or gross negligence directly attributable to MAKClick.
Data Security
We strive to protect your data with appropriate and reasonable technical and organizational measures, but we cannot guarantee absolute protection.
Technical glitches, service outages, or security breaches beyond our control may occur.
By using the Service, you expressly agree that any loss, leak, or theft of data is possible, and you release the Platform—to the maximum extent permitted by law—from any liability, compensation, or lawsuit arising therefrom.
In the event that the Service suffers a cyberattack or security incident, we will make every effort to notify you and address the situation, but without bearing any obligation to compensate unless the law requires otherwise.
8. Service Changes or Discontinuation
We may make modifications to the Platform from time to time (adding new features, modifying or removing old features).
We may change subscription plans or their prices in the future, with notice provided to you prior to renewal.
If the Company is sold or its ownership is transferred to a third party, all rights and obligations automatically transfer to the new owner.
If the Company ceases operations for any reason (bankruptcy, administrative decision, force majeure, natural disaster, or even an administrative decision to shut down the Platform), you agree that the Platform is not responsible for any material or moral compensation.
9. Service Availability
The Service is provided "as is" and "as available". We strive to achieve the highest levels of availability, but temporary downtime may occur due to maintenance, updates, or other technical reasons. We bear no responsibility for any downtime or interruptions.
The following do not count as Platform-responsible downtime: announced maintenance, force majeure, internet or user-device failures, or outages of hosting providers, Azure, Gemini, Exact, or any third party.
10. Service Termination
We reserve the right to suspend or terminate your account if you violate any terms of this Agreement, fail to pay amounts due, engage in any activity that harms or threatens the Service, exceed the Fair Use Policy, or abuse trial accounts. Where practicable, we will give notice and a reasonable opportunity to cure, except in urgent or security cases.
11. Disclaimer and Limitation of Liability
The Service is provided "as is" and "as available".
We do not guarantee that it will be entirely error-free, fault-free, or uninterrupted.
To the maximum extent permitted by law, we bear no liability for:
- Errors or inaccuracies in OCR or AI results.
- Loss of profits, business opportunities, or reputation.
- Loss or corruption of data.
- Any fines, tax errors, interest, or financial audits issued by the tax authority or official bodies.
- Any direct, indirect, or consequential damages that may arise from using the Service.
- Actions of an accountant, advisor, or any authorized user under your account.
- Outages or changes in external services (including Azure, Gemini, and Exact).
By using the Service, you fully and definitively release us—to the maximum extent permitted by law—from any liability, claim, or compensation.
In all cases, the total liability of MAKClick or Tech Click shall not exceed the fees you paid for the Service during the three months immediately preceding the event giving rise to the claim.
Exclusions or limitations do not apply where prohibited by law, including liability for intent or gross negligence directly attributable to MAKClick.
12. Indemnification
You agree to indemnify and hold harmless the Platform against any claims, losses, damages, or attorney fees arising from: your unlawful use of the Service; your violation of this Agreement; data or documents you uploaded; infringement of third-party rights; errors resulting from accounting entries and invoices uploaded or approved by you after you had an opportunity to review them; or acts of a user or accountant to whom you granted access.
13. Order of Precedence
In case of conflict between documents, the order of precedence is:
1) a signed special agreement; 2) a specific formal agreement by email; 3) the Data Processing Agreement; 4) any Service Level Agreement if one exists; 5) these Terms; 6) general information or marketing materials.
14. Governing Law and Jurisdiction
These terms are governed by Dutch law.
Any dispute shall be resolved exclusively before the competent courts in Rotterdam, unless the law requires another forum.
15. Dispute Resolution
Any dispute arising from this Agreement shall first be resolved amicably via the official email info@makclick.com, and if no solution is reached, recourse shall be made to the judiciary or competent channels.
16. Force Majeure
We bear no liability if the Service is affected due to events beyond our control, such as natural disasters, power outages, internet disruptions, wars, government decisions, outages of external service providers, or any other exceptional circumstances.
17. Assignment and Transfer
We have the right to transfer or assign our rights and obligations under this Agreement without prior notice.
You may not transfer your rights without our prior written consent.
18. Amendment of Terms
We reserve the right to amend these terms at any time. Amendments become effective immediately upon being published on the Platform/Website, and your continued use constitutes acceptance of these amendments, to the extent permitted by law.
19. Languages and Interpretation
This Agreement is available in multiple languages to facilitate understanding for all users.
Some translations may have been completed by artificial intelligence.
In the event of any difference in interpretation or discrepancy between translated versions, the English version shall be the official reference and legally binding before competent authorities and courts.
